Nature of the firm

Thailand Stock Loans is an arranger and introducer of share-backed financing. We structure and coordinate transactions secured by equity listed on the Stock Exchange of Thailand (SET) and the Market for Alternative Investment (mai), working alongside licensed and appropriately authorised Thai counterparties, lenders, custodians, and legal counsel.

Regulatory framework

Thailand Stock Loans operates with reference to the laws and regulations of the Kingdom of Thailand, including the rules of the Securities and Exchange Commission, Thailand (SEC Thailand) and the rules of the Stock Exchange of Thailand (SET).

Transactions involving SET- and mai-listed securities may give rise to disclosure and reporting obligations. For example, acquisitions or disposals of voting securities that cross the 5% threshold (and each subsequent multiple of 5%) are reportable to SEC Thailand under the Securities and Exchange Act B.E. 2535, typically by way of Form 246-2. The application of such obligations to any particular structure, including the treatment of a pledge, is assessed and calibrated transaction by transaction in conjunction with Thai counsel.

Risk warnings

Securities-backed lending carries significant risk. Before proceeding with any transaction you should understand, among other things, the following:

  • Market risk. The value of listed shares can fall as well as rise, sometimes sharply and without warning. A decline in the price of the pledged security may have material consequences for the financing.
  • Liquidity risk. Some SET- and mai-listed shares trade thinly. Limited free float or trading volume can make it difficult to value, finance, or realise a position at an expected price.
  • Margin-call and top-up risk. A fall in the value of the collateral may trigger a requirement to post additional security or to repay part of the financing at short notice.
  • Forced-sale risk. If obligations are not met, pledged shares may be sold or otherwise enforced against, potentially at an unfavourable time and price, and potentially with disclosure or control consequences.
  • Currency, interest-rate, and concentration risk. Movements in exchange and interest rates, and concentrated single-stock exposure, can each affect the outcome of a transaction.
